TERMS OF SERVICE AGREEMENT
The following Terms of Service (the "Agreement") is effective upon receipt of provided invoice in the year 2016,

Kenesky Murray Golf Services (the "Service Provider"), a business organized and existing under the laws of Ontario, with its head office located at:
109 Thornlodge Drive Waterdown ON L0R 2H3 |
AND:

the "Company" Address and Information to be submitted upon form provided at the conclusion of this online document or on invoice provided by "Service Provider"

WHEREAS, Kenesky Murray Golf Services is in the business of managing golf events and providing golf scoring solutions to the Golf Industry; and
WHEREAS, this agreement contains Kenesky Murray Golf Service's terms of engagement;
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties hereto, intending, to be legally bound, agree as follows:
1. SERVICES PROVIDED
Kenesky Murray Golf Services is prepared to provide the following professional services:
WHEREAS, this agreement contains Kenesky Murray Golf Service's terms of engagement;
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties hereto, intending, to be legally bound, agree as follows:
1. SERVICES PROVIDED
Kenesky Murray Golf Services is prepared to provide the following professional services:

I. Use of Golf Genius Software online scoring solution for a (12) twelve month period for the purpose of scoring and managing (1) one league of 80 to 100 players and up to (4) four member club events
II. Initial set up and access to Golf Genius account III. Initial support of system and set up IV. Provide training session for staff |
2. CALCULATION OF FEES

a. Fees for professional online golf scoring services are calculated annually at a lump sum rate of $2500 HST included
b. Additional events outside the initial agreement will cost $1.50 per player per round and Kenesky Murray Golf Services will provide a separate invoice within 30 days of date event contested |
3. BILLING ARRANGEMENTS

a. Invoice provided will be received with description of services provided
b. Invoice will be payable within 45 days of receipt |
4. NON-PAYMENT
If Company does not pay a bill sent by Kenesky Murray Golf Services in a reasonable time within 45 days upon receipt of invoice, Kenesky Murray Golf Services may immediately stop service provided to the Company.
5. TERMINATION BY COMPANY
Company may terminate this agreement by giving Kenesky Murray Golf Services a written notice at any time and will be liable for all usage and services provided up to that time. If Company does not provide such notice, it will be obliged to pay all fees for usage and services provided and for other charges incurred.
6. TERMINATION BY KENESKY MURRAY GOLF SERVICES
Kenesky Murray Golf Services may terminate this agreement and stop services for Company if:
i. Company does not comply with this agreement
ii. Kenesky Murray Golf Services forms the opinion, on reasonable grounds, that mutual confidence and trust do not exist between both parties; or
iii. Kenesky Murray Golf Services believes on reasonable grounds that, by continuing to provide services for Company, it may breach the professional conduct rules which are binding upon professionals in the PGA of Canada Code of Conduct
ii. Kenesky Murray Golf Services forms the opinion, on reasonable grounds, that mutual confidence and trust do not exist between both parties; or
iii. Kenesky Murray Golf Services believes on reasonable grounds that, by continuing to provide services for Company, it may breach the professional conduct rules which are binding upon professionals in the PGA of Canada Code of Conduct
WHEREAS, by filling out and submitting the form below Your Company agrees to this Terms of Service Agreement on the date provided within.
